ENERGY AND REAL ESTATE DEVELOPMENT CORPORATION (TEG) LISTING ADDITIONAL 48 MILLION SHARES

Regarding the raised capital of 480 billion VND from this current equity offering, TEG stated that it will utilize over 300 billion VND to invest in purchasing shares of Truong Thanh Tra Vinh Wind Power Joint Stock Company. Specifically, TEG plans to acquire the entire 15,034,479 shares of Truong Thanh Tra Vinh Wind Power Joint Stock Company from Truong Thanh Vietnam Group Joint Stock Company at a purchase price of 20,000 VND per share.

The company also intends to use over 53 billion VND to invest in purchasing shares of Truong Thanh Energy Joint Stock Company (TEG plans to receive the transfer of 3,988,474 shares of Truong Thanh Energy Joint Stock Company from Truong Thanh Vietnam Group Joint Stock Company at a purchase price of 13,300 VND per share).

Additionally, the company plans to allocate 69 billion VND to repay the company's debts.

With the remaining amount of 57.2 billion VND, TEG stated that initially it was planned to allocate for additional working capital to serve the company's business activities, but later the Board of Directors changed the details of the usage purpose of this amount. Accordingly, TEG will allocate more than 57.2 billion VND to savings accounts at banks to optimize this capital during the period of non-use for advance payments/payment to subcontractors/suppliers under subcontract contracts. At the same time, depending on the business situation and actual needs in 2024, the Board of Directors will consider continuing to disburse more than 57.2 billion VND into the company's working capital.

Regarding the plan to organize the Annual General Meeting of Shareholders in 2024, TEG stated that it is scheduled to be held in April 2024. The deadline for registration to participate in the shareholders' meeting is March 12, 2024.

Regarding the business situation, in 2023, TEG recorded growth in both revenue and profit. Accumulated throughout 2023, TEG's revenue reached 325.6 billion VND, up 46.4% compared to 2022, and after-tax profit reached 81.4 billion VND, up 86.6% compared to the performance of 2022.
